CONTESTANT RULES & REGULATIONS

CONDITIONAL PRIZE CONTEST

April 28^th  —     June 29^th, 2008

No purchase necessary to enter or win the contest. Void where prohibited.

Participation in this contest constitutes your understanding of, and full and unconditional agreement to and acceptance of, these Official Contest Rules. This contest is subject to all applicable federal, state, and local laws and regulations, including without limitation Alabama Code Sections 8-19D-1 et seq. and Alabama Attorney General Opinions 1999-28 and 2005-173. Void where prohibited by law. To be eligible to enter this contest, you must be a U.S. resident.

1.     WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, Means Advertising, and WorkPlay Theatre will conduct the contest during the above listed dates for a chance to win the following prizes:

a.   One (1) of a maximum of Three-Hundred and sixty (360) audition passes to compete for the grand prize

b.   One (1) $5000.00 Grand Prize Award.

2.      WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising reserve the right to end the contest at any time without additional notice.

3.      Contestants may win a maximum of one (1) time during the entire length of the promotion. A maximum of one (1) winner per household will be allowed to enter during the flight of this entire promotion. Employees, associates, and interns of WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising, other related sponsors, and their immediate families may not participate and are not eligible to win. The term "immediate families" includes spouses, grandparents, parents, siblings, children, and grandchildren.

4.      WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising will instruct patrons of Milo's Restaurants, WZZK-FM listeners, WBHK-FM listeners and WIAT-CBS 42 viewers to participate in the contest by visiting local Milo's restaurants at pre-determined times, by watching WIAT and Milo's discretion in order to receive an audition pass to enter the grand prize competition.

5.      Once the three-hundred and sixty (360) official finalists have been selected, WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising will hold a judged singing competition on May 17^th 2008 at Workplay Theatre in Birmingham, Alabama. Fifteen (15) of the three-hundred and sixty (360) contestants will be picked by judges of CCX Radio Inc, WIAT-CBS 42, Means Advertising, and Milo's at the end of the day on May 17^th at Workplay Theatre. Those fifteen (15) contestants will then be voted on by the general public to win the grand prize via WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42 websites. The grand prize winner is to be determined primarily by talent as evaluated by the judges and then secondly by online voting by the general public. The final judgment of the grand prize winner may be solely determined by Milo's Restaurants regardless of the public vote outcome.

6.      Any winning contestant must be the participant who originally acquired an audition pass to participate in the contest regardless of age. No family members, friends, office associates, or any other person will be allowed to participate in the contest on another person's behalf. The contestant must provide their own name, own birth certificate, own driver's license, and/or own social security number card. If a contestant uses a false name, driver's license, or social security number, they will be immediately disqualified from the contest and be ineligible to win any prize, and such conduct may be considered insurance fraud and may result in legal ramifications.

7.   There will be a maximum of one (1) winner per prize. This contest and the prize values may be ended or altered at the sole discretion of WZZK-FM, WBHK-FM, Milo's, WIAT­-CBS 42, and Means Advertising.

8.   The odds of winning the prize depend on the number of people attempting to participate in the contest at any given time. The odds of winning the grand prize once selected as a contestant are: 1:360. The odds of winning the grand prize once selected as a finalist are:

1:15.

   9.   In the event of a prize winning contestant of any monetary amount, the winning contestant will be required to submit sufficient identification in person including a valid driver's license. If a prize winning contestant is under the age of 18 years, they must be accompanied by a legal guardian. That legal guardian will be responsible for any of their child's winnings and any applicable title fees, registration fees, and taxes including state, local, and federal and therefore must present a valid Social Security Card before claiming the prize

10.   Prize winning contestants are subject to verification of their identity by WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising prior to their prize being awarded. Prize winning contestants may be required to submit to a polygraph test. A polygraph test which reveals any fraudulent activity or any non-compliant with any of the rules and regulations outlined herein will result in a grand prize claim denial.

11.   Difficulties to enter the contest or traveling to Milo's to pick up an audition pass and/or WorkPlay Theatre to compete in the final contest, or to claim entries into the contest, or to receive any prizes won are not the responsibility of WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising.

12.   As winner of a prize, you may be required to sign a release form before your prize will be awarded. As a winner of a prize, you will be responsible for all applicable title fees, registration fees, and taxes including state, local, and federal and therefore must present a valid Social Security Card before claiming your prize. As a prize winner under the age of 18 years, they must be accompanied by a legal guardian. That legal guardian will be responsible for any of their child's winnings and any applicable title fees, registration fees, and taxes including state, local, and federal and therefore must present a valid Social Security Card before claiming the prize. WZZK-FM WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising retains the right to award a price to an alternate winner if the primary winner cannot be notified within one (1) day of winning. Additionally, the Grand Prize winner will be required to sign a complete release and liability form prior to receipt of prize money. As a condition of participating in this contest, you agree that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this contest, or any prizes awarded, or the determination of winners shall be resolved individually, without resort to any form of class action and exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim punitive, incidental or consequential damages, including but not limited to attorneys' fees, out-of-pocket expenses, costs associated with entering the contest, and/or any other damages, and you further waive all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Contest Rules, or the rights and obligations of you and WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising in connection with this contest, shall be governed by, and construed in accordance with, the laws of the State of Alabama, without giving effect to the conflict of laws rules thereof, and all proceedings shall take place in that State in the City of Birmingham, County of Jefferson. In no event will WZZK-FM WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising or its affiliates, subsidiaries and related companies, their advertising or promotion agencies or their respective officers, directors, employees, representatives and agents, be responsible or liable for any damage or losses of any kind, arising out of participation in this contest or the awarding, possession, use, or acceptance of any prize awarded hereunder.

13.    As a prize winner, you acknowledge that WZZK-FM WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising has the right to, without further authorization, publicize your name, character likeness, photograph, voice, and the fact that you are a prize winner for promotional purposes without financial remuneration.

14.    There is no purchase necessary to enter or win the contest. Void where prohibited.

15.    There will be no substitution for prizes. Participation in the contest and the prizes awarded are non-transferable Failure to collect the prize within 30 business days of prize availability constitutes forfeiture of the prize. If forfeited, the prize will remain the property of Milo's Restaurants and/or Means Advertising. Another winner may be selected.

16.    WZZK-FM, WBHK-FM Milo's, WIAT-COS 42, and Means Advertising reserve the right to make rule or contest changes without notice at any time. WZZK-FM, WORK-FM, Milo's, WIAT-CBS 42, and Means Advertising also reserve the right to change the aforementioned contest dates without notice.

17.    The decision of WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising management in the interpretation of these rules is final. By participating, persons agree to be bound by the decisions of the judges and the official rules.

18.   If the winner is found in violation of the rules, he/she may be required to forfeit his/her prize.

19.   WZZK-FM, WBHK-FM, Milo's, WIAT-CBS 42, and Means Advertising, its representatives, agencies and employees, are not responsible for any liabilities arising directly or indirectly from the award or use of the prize.

20.   WZZK-FM, WBHK-FM Milo's, WIAT-CB5 42, and Means Advertising, its representatives, agencies and employees, are not responsible for any changes or difficulties in travel or prize delivery.

21.   WZZK-FM, WBHK-FM, Milo's, WIAT-COS 42, and Means Advertising are not responsible for typographical, printing, or other inadvertent errors in these Official Rules or in other materials relating to the Contest. Copies of these Official Rules are available at WZZK-FM studios at 301 Beacon Parkway West, Suite 200, Birmingham, Alabama 35209 from 8:30 AM - 5:00 PM (C.S.T.) Monday through Friday.
